AI Terms Addendum
This supplemental AI Terms Addendum (the “AI Terms”) sets out the additional terms applicable to features which incorporate artificial intelligence models or tools made available by PI (“PI AI”). These AI Terms supplement and form part of the Client Software Agreement found here: https://www.predictiveindex.com/terms/ (“Agreement”). Capitalized terms used but not defined herein shall have the meaning given them in the Agreement.
Definitions
“AI Functionality” means functionality incorporating (1) any machine-based system, statistical learning algorithm, model (including large language model), neural network, tool, or functionality (including generative AI) that can, for a given set of human defined objectives or through use of a large language model, foundation model, or natural language processing, make predictions, recommendations, or decisions, influencing real or virtual environments, or generate various types of content (including text, images, video, audio, or computer code), with or without significant human oversight and/or human decision making, or (2) any other systems or services defined as artificial intelligence or machine learning under applicable law. “AI Functionality” includes, without limitation, any AI assistant provided by PI in the Software.
“AI Output” means content generated by the AI Functionality in response to a Prompt.
- Client’s Authorized Use and Restrictions. You acknowledge that:
- Artificial intelligence software and solutions, including the AI Functionality, rely upon statistical and mathematical processes that are inherently inaccurate and that can result in errors, fabrications, inaccuracies, or erroneous conclusions in AI Output or other content, output, and results. For clarity and without limiting the generality of the foregoing, AI Output may present information that appears authoritative but is not factual or true. You agree that it is your sole responsibility to identify and correct errors, fabrications, inaccuracies, and erroneous conclusions before using and/or relying on AI Output or other content, results, or output from the AI Functionality and further that PI disclaims any, and shall have no, responsibility or liability for any such errors, fabrications, inaccuracies, or erroneous conclusions.
- Because of the nature of artificial intelligence software and solutions, including the AI Functionality, (a) it is possible that your Prompts or the contents of your Prompts may be divulged or revealed by the AI Functionality to someone else and that PI disclaims any, and shall not have, responsibility or liability for any such divulgence or revelation and (b) AI Output provided to you may be similar or identical to AI Output independently provided to and owned by other Clients.
- Any Prompts provided to or processed by the AI Functionality may be retained, analyzed, or otherwise incorporated into the internal representations, embeddings, or outputs of the AI Functionality or any of its foundation, backbone, or base models, based upon the nature of large language models (LLM), transformers, neural networks, and similar artificial intelligence systems. You further acknowledge that due to the nature of such systems, Prompts or AI Outputs may influence future outputs or responses generated by the AI Functionality (or, potentially, any of its foundation, backbone, or base models), and that complete isolation or deletion of a Prompt from the AI Functionality may not be technically feasible. You therefore acknowledge the foregoing and acknowledge and agree that such retention, analysis, incorporation, or influence is not a violation of our obligations under this Agreement.
- You are solely responsible for ensuring that your use of the AI Functionality is in compliance with the Agreement and applicable law. Without limiting other provisions of the Agreement, when using the AI Functionality, you will not will not: (a) misrepresent that AI Output is solely generated by a human; (b) provide any Prompts into the AI Functionality that contain “personal data” or “personal information” (as each is defined by applicable law) regulated by an applicable law other than as permitted through the intended purpose of the AI Functionality; (c) use the AI Functionality in a manner that violates applicable law; (d) use the AI Functionality for automated decision-making that has legal or similarly significant effect on individuals, unless you do so with adequate human review and in compliance with applicable law; or (e) use any automated or bulk method to extract data from the AI Functionality, including data scraping or harvesting, other than as permitted through the AI Functionality.
- Client Data. By submitting Prompts into the AI Functionality, You grant us and our third-party partners permission to use the Prompts, any AI Outputs, and any related content in connection with the operation of our business (including, without limitation, other services we offer), including, without limitation, license rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat the Prompts, AI Outputs, and related content; and the right to sublicense such rights to any supplier of the AI Functionality (or any supplier of foundation, backbone, and base models). Your use of the AI Functionality does not grant you any ownership rights in any underlying technologies, intellectual property, or other data that comprise or support the AI Functionality. No compensation will be paid with respect to the use of your content, as provided herein.
- Data Security Program. If you reside outside of the United States, are located outside of the United States, or are organized under the laws of a country other than the United States, you agree to (i) refrain from making AI Output available to a covered person as defined in 28 C.F.R. § 202.211 and (ii) comply with the Cybersecurity and Infrastructure Agency Security (“CISA”) Requirements for Restricted Transactions E.O. 14117 Implementation, January 2025 or such successor security requirements as CISA may adopt, promulgate, or publish or that may be specified in 28 C.F.R. § 202.248.
- AI Functionality Disclaimers. You acknowledge that the AI Functionality relies upon, and operates using, artificial intelligence features (including generative artificial intelligence), and we make no representations, warranties, or guarantees as to the accuracy, completeness, or reliability of the AI Functionality or its output. PI will have no liability arising from your use of the AI Functionality or any errors or omissions contained in or related in any way to output generated by the AI Functionality.
- Confidentiality. When PI is the Receiving Party of Client Confidential Information, it shall have no liability or responsibility for Client Confidential Information divulged or revealed by the AI Functionality if such Client Confidential Information was previously submitted by Client (as the Disclosing Party) in a Prompt to the AI Functionality.
